These Terms of Use (“Terms”) describe the conditions for access to and use of the website, educational materials, inquiry forms, recommendation request forms, and distributor application forms provided by Sustainable Growing Solutions, LLC (“SGS,” “we,” “us,” or “our”) that link to these Terms (the “Services”).
By using the Services after these Terms are published, you agree to these Terms to the extent permitted by applicable law. If you do not agree, do not use the Services. These Terms do not limit rights that cannot lawfully be waived.
1. Purpose of the website
The Services provide information about SGS products, soil biology, biological growing strategies, application guidance, and opportunities to work with SGS. The forms let you request information, describe your operation, or express interest in becoming a distributor.
A recommendation request is an invitation for our team to review your information and follow up. The current website does not automatically create a crop-management program, accept a product order, or make a binding commitment to provide a service.
2. Eligibility and information you submit
The Services are intended for adults, growers, agricultural professionals, and businesses. You must have the legal capacity and, where relevant, the authority to act for the business you represent.
Provide information that is accurate to the best of your knowledge, and let us know about material changes relevant to your inquiry. Approximate acreage or business-size responses are acceptable where the form asks for an estimate. Only submit information you have the right to provide.
3. Agricultural information and product use
Website materials are general information. Appropriate decisions about a particular operation depend on factors such as crop, soil, climate, irrigation, equipment, timing, application practices, and local requirements. Additional information or professional review may be needed before a suitable program can be recommended.
Always follow the applicable product label, safety instructions, registration restrictions, and laws. Website summaries do not replace product labels. A reference to a product, crop, application, or certification does not establish that a product is registered, available, or permitted for every use or in every location. Review the information for your state or region and contact SGS if you need clarification.
4. Results and examples
Results vary between operations and seasons. Testimonials, case studies, research summaries, and other examples describe particular circumstances and do not promise that you will achieve the same results. Website information alone does not guarantee yield, crop quality, input reductions, profitability, or another agronomic or financial outcome.
Nothing in these Terms overrides an express product warranty or another obligation that applies under a separate agreement or cannot be excluded by law.
5. Distributor applications and separate agreements
Submitting a distributor application does not appoint you as an SGS distributor, grant an exclusive territory, authorize you to represent SGS, or permit you to use SGS trademarks as an authorized partner. Any distributor relationship requires separate agreement with SGS.
Product purchases, consulting arrangements, distribution relationships, and other commercial transactions may be governed by separate labels, orders, warranties, or written agreements. Those terms govern the relevant transaction if they conflict with these website Terms. This website does not independently establish payment, shipping, return, or product-warranty terms.
6. Website content and permitted use
SGS and the respective rights holders retain their rights in website text, images, logos, product materials, software, and other content. You may view the Services and download or print materials made available for that purpose to evaluate SGS products and support your own agricultural or business activities, subject to any restrictions stated with the materials.
Keep copyright, trademark, safety, and attribution notices intact. Do not alter product labels or present modified materials as approved SGS guidance. Except as permitted by law or with permission from the relevant rights holder, do not republish, sell, or commercially redistribute website content or use SGS branding in a way that suggests an endorsement or relationship that does not exist.
7. Acceptable use
Do not use the Services to:
- submit fraudulent inquiries, impersonate another person, or provide information without authority;
- transmit malicious code, spam, or unlawful material;
- access restricted systems or another person's information without permission;
- bypass security controls or interfere with the website's operation;
- copy or extract protected materials in violation of applicable rights or law; or
- otherwise violate applicable law or another person's rights.
We may restrict access when reasonably necessary to address misuse, protect the Services, or comply with law.
8. Your information and communications
You retain your rights in the farm and business information you provide. SGS uses that information to handle your request, evaluate a possible relationship, communicate with you, carry out SGS's own marketing, and operate the Services as described in the Privacy Policy, subject to your choices and any consent required by law. Submitting information does not transfer ownership of your underlying business information to SGS.
When you provide contact details, SGS may use them to respond to the inquiry or application you submitted and send SGS marketing communications where permitted by law. You can opt out of marketing emails using the unsubscribe instructions in a message or by contacting Dave Olson at dolson@sgs-ag.com. SGS does not sell leads. As described in the Privacy Policy, SGS may share your contact details and relevant inquiry information with a contracted independent distributor authorized to sell SGS products when SGS determines that the distributor is better positioned to serve your needs than SGS directly. This sharing is limited to responding to your inquiry and providing SGS-related products or support, not unrelated marketing. Providing a telephone number does not, by itself, authorize automated marketing calls or text messages. Any such program would require its own notices and consent process where applicable.
9. Third-party resources
The website may link to third-party research, podcasts, videos, products, or other resources. A link does not mean SGS controls or endorses all material at that destination. Independent websites and services have their own terms and privacy practices. Review those before providing information or using their services.
10. Availability and updates
We may correct, update, suspend, or discontinue website features or content. The Services may occasionally be unavailable or contain errors. Contact us if you encounter an apparent error or need current product information. We do not promise uninterrupted availability or that all published material will remain available indefinitely.
11. Website warranties
To the extent permitted by law, the website and its general informational content are provided “as is” and “as available,” without warranties that they will be uninterrupted, error-free, or suitable for every visitor's circumstances. To that extent, SGS disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement relating to the website Services.
This section concerns website access and informational content. It does not replace product labeling, exclude an express warranty SGS has separately made, or limit protections that the law does not allow to be limited.
12. Liability relating to website use
To the extent permitted by law, SGS will not be liable for indirect, incidental, special, or consequential loss arising from use of, or inability to use, the website Services, including loss of business opportunity, profits, or data.
This limitation does not apply where it would be prohibited by law and does not limit liability that cannot lawfully be excluded. Product purchases and other separately agreed services remain subject to the terms and legal protections applicable to those transactions.
13. Changes and interpretation
We may update these Terms and will identify the effective date of the published version. Material changes will receive any additional notice required by law and will apply prospectively. An updated website page does not amend a separately signed agreement unless that agreement permits it.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later.
